Scripbox IPO: Scripbox shareholders approve conversion into public company ahead of IPO

Wealth management platform Scripbox has secured shareholder approval to convert into a public limited company, as it moves ahead with plans for an initial public offering (IPO).

At an extraordinary general meeting on October 19, shareholders approved the change of the Accel-backed startup‘s name from Scripbox Wealth Managers Private Limited to Scripbox Wealth Managers Limited, along with amendments to its constitutional documents, according to regulatory filings reviewed by ET.

The company said in a statement that it intends to list its shares through a fresh issue and/or an offer for sale by existing shareholders. The timing will be decided in consultation with investment bankers and remains subject to regulatory approvals. The startup has not disclosed the size or valuation of the proposed issue.

Shareholders also approved splitting each equity share of face value Rs 10 into five shares of Rs 2 each, and appointing Kishore Mukund Saletore and Anjali Sosale as independent directors.

Separately, a November 2 filing showed Scripbox raised Rs 15 crore in non-convertible debentures from venture debt firm Stride Ventures. Earlier this year, the company had approved plans to raise up to Rs 170 crore through a combination of equity-linked instruments and debt. Entrackr first reported the development.

Founded in 2012 by Atul Shinghal and Sanjiv Singhal, Scripbox offers mutual fund investments, portfolio management, financial advice and products such as fixed deposits and international equities. The Bengaluru-based firm manages more than Rs 20,000 crore in assets across its distribution, portfolio management and advisory businesses.

In June, it acquired the mutual fund distribution business of Delhi-based Bluechip Capital, bringing in clients and employees of the three-decade-old firm. Bluechip managed more than Rs 1,000 crore in assets, Scripbox chief executive Shinghal told ET at the time.

Scripbox has raised funding from Accel, Omidyar Network, and Nippon Life Insurance, among others, and has raised about $59 million in equity funding. ET reported in April 2025 that it was seeking around $20 million at a valuation of $200 million, with cofounder Singhal confirming IPO preparations.

For FY25, Scripbox reported operating revenue of Rs 107.2 crore, up 27% year on year, and a net profit of Rs 12.7 crore.

The plans come as digital investment platforms compete for a larger share of India’s expanding savings market. Online stockbroker Groww listed on Indian exchanges in November 2025.

Mutual fund industry assets under management stood at Rs 82.64 lakh crore at September-end, according to the Association of Mutual Funds in India (Amfi).
